2、债权人不公、为股东特别是董事滥用公司的法人人格提供了机会以及对侵权责任的规避等问题。正如孟德斯鸠在《论法的精神》中说道：“一切有权利的人都容易滥用权力，这是万古不易的一条经验。为了防止权力滥用，就必滥用权力，这是万古不易的一条经验。为了防止权力滥用，就必须以权力约束权力”①。因此，为弥补公司法人人格独立制度的缺陷，公司法人格否认制度便率先在美国产生，与此相对应，我国《公司法》也对该制度做出了原则性的规定。本文介绍了公司法人人格否认制度产生的历史渊源、两大法系有关该制度的理论学说等相关理论，分析了公司法人人格独
