1、湖南农业大学硕士学位论文我国国有商业银行内控制度研究姓名：盘晓娟申请学位级别：硕士专业：企业管理指导教师：李桂兰20041001我国国有商业银行内控制度研究摘要：80年代以来，特别是进入90年代，各国金融在自由化、创新化、国际化，市场一体化过程中，风险问题日渐突出。其原因就是内控制度的缺陷。本文正是基于这种认识，在参照国际规则、考察借鉴各国内部控制制度实践及我国关于金融机构内部控制的一般性指导原则的基础上，根据确保安全、兼顾效率的原则，提出了我国商业银行内部控制制度的基本内容及运行机制的总体架构。同时，为保证上述架构下商业银行内部控制制度有效运行，需要改革我国国有商业银行，提出：建立商业

2、银行股份公司制度，完善银行公司治理结构；实行“分业格局下的混业经营”的业务经营管理制度，以兼顾商业银行安全与效率；培育商业银行文化；建立商业银行内部控制制度与外部监督管理制度的协调制度，以便通过外部力量促进内部控制制度的健全有效。主旨是通过制度借鉴、改革与创新，构建适应我国市场经济发展、具有现代文明社会文化底蕴的商业银行内部控制的基本制度框架。关键词：国有商业银行、内控制度、股份制、“全能”经营、银行文化，外部协调TheStudyontheInternalControlofState—ownedBanksAbstract：Since1980s，especiallyinthetimesof
