2、terminesthemanagingstructureofcorporations，andfurtherinfluencesontheirbehaviorcharactersandvalue，thereforecapitalstructureis“genes“ofthemodemcorporations，Rationalcapitalstructureisinfavorofimprovingthebehaviorandvalueofcorporations．Throughthestudyoncharacters

3、ofthecapitalStructureoflistedcompaniesofourcountry,theresearchfindsthatthelistedcompaniesofourcountryhavethefollowingproblems：thestructureindebtisunreasonable；thecompaniespreferstockf'mancingtodebtfinancing；stocksofnotcirculationaccountforthemajority．Inviewof

4、theseissues，thefactorsinfluencingcapitalstructureoflistedcompanywassystematicallystudied．Theaimisachievingatthegeneralconclusiononthemainlyinfluentialfactorandasguidancetocompanies’optimizingcapitalstructure．Usingasampleoflistedcompanies，ourtestprovesthosefac

5、torsinmultipleregression·correlationanalysis，Wefoundempiricalevidenceshowingthefinancialsituationplaysacrucialroleinfinancingdecision．Atlastthereasonsofthatarefound：thefinancingcostofstocksfinancingislowerthanthatofdebtfinancing；thestockstructureisspecialinth

6、elistedcompanyofourcountry；thestockmarketisnotinbalance；themanagestructureofthelistedcompanyisnotPerfect．Thethesissuggeststoimprovetheunreasonableconditionsofcorporationcapitalstructurethroughoptimizingastrandpowerstructure，developingandPerfectingbondmarket，s
