LawofthePeople'sRepublicofChinaonPromotingtheTransformationofScientificandTechnologicalAchievements(Adoptedatthe19thMeetingoftheStandingCommitteeoftheEighthNationalPeople'sCongressonMay15,1996andpromulgatedbyOrderNo.68ofthePresidentofthePeople'sRepublicofChinaonMay15,1996)ContentsChapterIGeneralProvisionsChapterIIArrangementsforImplementationChapterIIIGuaranteeMeasuresChapterIVTechnologicalRightsandInterestsChapterVLegalResponsibilityChapterVISupplementaryProvisionsChapterIGeneralProvisionsArticle1Thislawisenactedforthepurposeofpromotingthetransformationofscientificandtechnologicalachievementsintorealproductiveforces,standardizingsuchtransformation,hasteningscientificandtechnologicalprogressandfacilitatingeconomicandsocialdevelopment.Article2Thephrase"transformationofscientificandtechnologicalachievements"asusedinthisLawmeanstheentireprocessofthefollow-uptests,development,applicationandwidespreaduseoftheapplicablescientificandtechnologicalachievements,madeasaresultofscientificresearchandtechnologicaldevelopment,throughtothefinalcreationofnewproducts,newtechniques,newmaterialsandnewindustries--allforthepurposeofenhancingtheproductiveforces.Article3Transformationofscientificandtechnologicalachievementsshallbeinstrumentaltoincreasingeconomicandsocialresultsandprotectingtheenvironmentandnaturalresources,aswellastopromotingeconomicandsocialdevelopmentandstrengtheningnationaldefense.Intransformingscientificandtechnologicalachievements,thepersonsconcernedshallabidebytheprinciplesofvoluntariness,mutualbenefit,fairnessandgoodfaithandshall,inaccordancewithlaworcontractualagreement,enjoyinterestsandbearrisks.Intellectualpropertyinvolvedintransformationofscientificandtechnologicalachievementsshallbeprotectedbylaw.Intransformationofscientificandtechnologicalachievements,lawsshallbeobservedandState8 interestssafeguarded,andnopublicinterestsshallbedamaged.Article4Theadministrativedepartmentforscienceandtechnology,theplanningdepartment,theadministrativedepartmentforcomprehensiveeconomicandtradeaffairsandotherrelevantadministrativedepartmentsundertheStateCouncilshall,withintheirfunctionsandresponsibilitiesasprescribedbytheStateCouncil,administer,guideandcoordinateeffortsforthetransformationofscientificandtechnologicalachievements.Thelocalpeople'sgovernmentsatvariouslevelsshallberesponsibleforadministering,guidingandcoordinatingeffortsforthetransformationofscientificandtechnologicalachievementswithintheirrespectiveadministrativeregions.ChapterIIArrangementsforImplementationArticle5TheStateCouncilandthelocalpeople'sgovernmentsatvariouslevelsshallincorporatethetransformationofscientificandtechnologicalachievementsintheirnotionaleconomicandsocialdevelopmentplansandmakearrangementsandcoordinateeffortsforthetransformationofscientificandtechnologicalachievements.Article6TherelevantdepartmentsundertheStateCouncilandthepeople'sgovernmentsofprovinces,autonomousregionsandmunicipalitiesdirectlyundertheCentralGovernmentshall,atregularintervals,publishcataloguesofscientificandtechnologicalachievementsandhandbooksofmajorprojectsfortransformationofscientificandtechnologicalachievementsandshallgivefirstpriorityandassistancetothefollowing:(1)projectsthatwillnoticeablyhelpraisetheindustrialandtechnicallevelandincreaseeconomicresults;(2)projectsofanindustrialscalethatcancompeteamongtheeconomiesoftheworld;(3)projectsthatcanhelprationallydevelopandutilizethenaturalresources,conserveenergy,reducematerialconsumptionandpreventandcontrolenvironmentalpollution;(4)projectsthatcanfacilitatehigh-yield,high-qualityandhigh-efficiencyfarmingandpromoteeconomicdevelopmentinthecountryside;and(5)projectsthatcanhelpacceleratethesocialandeconomicdevelopmentinareasinhabitedbyminoritynationalitiesandoutlyingandpoverty-strickenareas.Article7TheState,byadoptingappropriatepoliciesandmeasures,promotesandencouragestheuseofadvancedtechnology,techniquesandequipmentandcontinuedimprovement,restricteduseandeliminationofbackwardtechnology,techniquesandequipment.Article8Whenmakingarrangementsfortransformationofmajorscientificandtechnologicalachievements,thepeople'sgovernmentsatvariouslevelsmayhaverelevantdepartmentstoarrangefor8 thetransformationthroughpublicbidding.Thesedepartmentsshallprovidethesuccessfultenderwiththefundsandotherconditionsthattheydecidedtoofferwhenmakingthebidding.Article9Holdersofscientificandtechnologicalachievementsmayhavetheirachievementstransformedinthefollowingways:(1)investinginthetransformationthemselves;(2)transferringtheirachievementstoanother;(3)allowinganothertousetheirachievements;(4)workingtogetherwithanotherforthetransformationwiththeirachievementsastheconditionsforcooperation;and(5)investingwiththeirachievementsastrade-in,asconvertedsharesorasproportionsofcontributiontotheinvestment.Article10Anenterprisemay,forthepurposeofadoptingnewtechnology,newtechniquesandnewmaterialsandmanufacturingnewproducts,publishinformationonitsownorentrustanintermediateinstitutionengagedintradeoftechnologytosolicitthescientificandtechnologicalachievementsthatitneedsortofindcollaboratorsforthetransformationofscientificandtechnologicalachievements.Article11Anenterpriseshall,accordingtolaw,havetherighttoconducttransformationofscientificandtechnologicalachievementsindependentlyorjointlywithdomesticorforeignenterprisesorinstitutionsorothercollaborators.Anenterprisemay,throughfaircompetition,undertaketheprojects,arrangedbythegovernment,forscientificandtechnologicalresearchanddevelopmentorforthetransformationofscientificandtechnologicalachievementsindependentlyorjointlywithanother.Article12TheStateencouragesresearchanddevelopmentinstitutions,collegesanduniversitiesandotherinstitutionstojoineffortswithmanufacturersforthetransformationofscientificandtechnologicalachievements.Researchanddevelopmentinstitutions,collegesanduniversitiesandotherinstitutionsmayparticipateinthebiddingortenderingconductedbyrelevantdepartmentsofthegovernmentorenterprisesfortransformationofscientificandtechnologicalachievements.Article13TheStateencouragesagriculturalresearchinstitutionsandagriculturalexperimentanddemonstrationstationstotransformscientificandtechnologicalachievementsindependentlyorincooperationwithanother.Agriculturalresearchinstitutionsmay,forthepurposeofadvancingthetransformationoftheirscientificandtechnologicalachievementsandinaccordancewithlaw,dealinthefinestrainswhichtheybreedthroughtheirownresearchorincooperationwithanotherandwhichareapprovedafter8 examination.Article14WithregardtoscientificandtechnologicalachievementsworthapplyingthataremadebypersonswhileholdingpositionsintheresearchanddevelopmentinstitutionssetupbytheStateorincollegesanduniversities,iftheunitsconcernedfailtomaketimelytransformationoftheachievements,thepersonswhomadetheachievementsandtheparticipantsmay,onconditionthatownershipoftheachievementsremainsunchangedandinaccordancewiththeagreementtheyreachedwiththeunitstheybelongto,transformtheachievements,andtheyshallenjoytherightsandinterestsasstipulatedintheagreement.Andtheunitsconcernedshouldassistinthetransformationofthescientificandtechnologicalachievementsmentionedabove.Personswhomadethescientificandtechnologicalachievementsorleadingmembersofaresearchprojectmaynotobstructtransformationofthescientificandtechnologicalachievementstheymadewhileholdingpositionsintheunitsortakeintotheirownpossessionsuchachievementsorthusencroachuponthelawfulrightsandinterestsoftheunitstheybelongto.Article15Unitsthatmadescientificandtechnologicalachievements,unitsthatconducttransformationoftheachievementsandunitsthatinvestinsuchtransformationshallsignacontractiftheyintendtocooperateinthefollow-uptests,developmentandapplicationoftheachievementsaswellastheirputtingintoproductionandoperation,inwhichtostipulatetherightstobeenjoyedandtheriskstobebornebyeachparty.Article16Intestingandevaluatingscientificandtechnologicalachievementsinthecourseoftheirtransformation,theprinciplesofimpartialityandobjectivenessshallbeadheredto;itisnotallowedtoprovidefalsetestingresultsorevaluationcertificates.WhenresearchanddevelopmentinstitutionssetupbytheState,collegesanduniversitiesorState-ownedenterprisesworktogetherwithenterprises,otherorganizationsorindividualsfromoutsideChinaintransformingscientificandtechnologicalachievements,theymustevaluatetheachievementsinaccordancewithrelevantregulationsoftheState.WhereStatesecretsareinvolvedintransformingscientificandtechnologicalachievementswiththecooperationofothercountries,priorapprovalmustbeobtainedthroughtheproceduresstipulatedbylaw.Article17Inplacesoragenciessetupaccordingtolawfortheexchangeoftechnology,thefollowingactivitiestopromotetransformationofscientificandtechnologicalachievementsmaybeconducted:(1)introducingorrecommendingscientificandtechnologicalachievementsthatareadvanced,maturedandapplicable;(2)providingeconomic,technological,environmentalandotherinformationneededfortransformationofscientificandtechnologicalachievements;(3)tradingintechnologies;and8 (4)providingotheradvisoryservicesfortransformationofscientificandtechnologicalachievements.Article18IntermediateinstitutionsactingasagentorintermediariesorprovidingotherpaidservicesintheexchangeoftechnologiesmustobtainbusinesslicensesasrequiredbyrelevantStateregulations.BrokersoftheseinstitutionsmusthavequalificationcertificatesasrequiredbyrelevantStateregulations.Article19TheStateencouragesenterprisesandinstitutionsandeconomiccooperativeorganizationsengagedinscientificandtechnologicalactivitiesinthecountrysidetoconductintermediateandindustrialexperiments,agriculturalexperimentsanddemonstrationsandothertechnologicalinnovationsandtoprovidetechnicalservices.Thefollowingactivitiesmaybeengagedinthebasesforconductingintermediateandindustrialexperiments,agriculturalexperimentsanddemonstrationsforthepurposeoftransformingscientificandtechnologicalachievementsandinotherinstitutionsthatareengagedintechnicalinnovationsorprovidetechnicalservices:(1)conductingintermediateandindustrialexperimentswithregardtonewproductsandnewtechniques;(2)engaginginancillarydevelopmentandtechnicalinnovationforthesystematizationandengineeringofscientificandtechnologicalachievementsindifferentareasortradestoservethecommunity;(3)providingtechnologyortechnicalservicestosmallandmedium-sizedenterprises,townshipenterprises,andeconomiccooperativeorganizationsengagedinscientificandtechnologicalactivitiesinthecountryside;and(4)providingall-roundservicesinsupportoftransforminghigh-technologyachievementsandestablishingenterprisesforthetransformation.CapitalconstructionofthebasesandinstitutionsmentionedintheprecedingparagraphshallhavetobeapprovedbytherelevantdepartmentundertheSateCouncilandthepeople'sgovernmentsofprovinces,autonomousregionsandmunicipalitiesdirectlyundertheCentralGovernmentandshallbeincludedintherelevantplansoftheStateorthelocalauthorities.Article20Trialproductsfromthetransformationofscientificandtechnologicalachievementsmaybeprovidedfortestmarketingwithintheverifiedperiodfortrialsale,inaccordancewithStateregulationsgoverningproductsfortrialsaleandafterapprovalbytherelevantdepartment.Trialmanufacturingandtestmarketingoftheproductsmentionedaboveshallmeetthetechnical,quality,safety,healthandotherstandardsprescribedbytheState.ChapterIIIGuaranteeMeasures8 Article21Ofthefundsthegovernmentallocatestoscientificandtechnologicalundertakings,toinvestmentinfixedassetsandtotechnologicalupdating,acertainproportionshallbeusedfortransformingscientificandtechnologicalachievements.Thisproportionofgovernmentfundsshallbechieflyusedasinitiationfunds,discountloans,subsidyfunds,riskinvestmentandotherfundsforpromotingtransformationofscientificandtechnologicalachievements.Article22TheStateadoptsapreferentialtaxpolicyregardingtransformationofscientificandtechnologicalachievements.SpecificmeasuresshallbeformulatedbytheStateCouncil.Article23Statebankinginstitutionsshallsupporttransformationofscientificandtechnologicalachievementsinmattersofloansandgraduallyincreasetheamountofloansextendedforsuchtransformation.Article24TheStateencouragesestablishmentoffundsorriskfundsfortransformationofscientificandtechnologicalachievements,suchfundsshallberaisedbytheState,localauthorities,enterprises,institutionsandotherorganizationsandindividualsandshallbeusedtoaidtransformationofsuchscientificandtechnologicalachievementsasneedsubstantialinvestment,involveconsiderablerisksandpromisehighyieldsandtoacceleratetheapplicationofmajorscientificandtechnologicalachievementsinindustrialproduction.FundsandriskfundsfortransformationofscientificandtechnologicalachievementsshallbeestablishedandusedinaccordancewithrelevantregulationsoftheState.Article25TheStatepromotestheestablishmentandexpansionofscientificandtechnologicalinformationnetworksandtheestablishmentofadatabankofscientificandtechnologicalachievements,bothofwhichshallprovideinformationservicesregardingsuchachievementsthroughoutthecountry.ChapterIVTechnologicalRightsandInterestsArticle26Whenaunitthatmadescientificandtechnologicalachievementsandanotherunitjoineffortstotransformtheachievements,theownershipofrightsandinterestsrelatedtotheachievementsshallbestipulatedinacontractinaccordancewithlaw.Whatisnotstipulatedinthecontractshallbehandledaccordingtothefollowingprinciples:(1)Wherenoinventionorcreationensuesfromtransformationofascientificortechnologicalachievement,therightsandinterestsrelatedtothescientificortechnologicalachievementshallbelongtotheunitthatmadetheachievement;(2)Whereinventionsorcreationsensuefromcollaboratedtransformationofascientificortechnologicalachievement,therightsandinterestsrelatedtotheinventionsorcreationsshallbelongtobothpartiesincollaboration;and(3)Astothescientificandtechnologicalachievementsmadethroughcollaboratedtransformation,bothpartiesshallhavetherighttoputintopracticetheachievementsthusmade;consentshallhavetobeobtainedfrombothpartiesincollaborationfortransferofthesaidachievements.8 Article27Whenaunit,thatmadescientificandtechnologicalachievements,andanotherunitcollaboratetotransformtheachievements,bothpartiesshallreachanagreementonprotectionofthetechnicalknow-how;thepartiesmaynot,runningcountertotheagreementortherequestoftheobligeeforkeepingthetechnicalknow-how,discloseorletanotherusethetechnicalknow-how.Agenciesoftechnologicalexchangeandintermediateinstitutionsshallbeobligatedtokeepsecretthetechnicalknow-howofthepartiesconcerned,whichtheycometoknowwhileservingasanagentoranintermediary.Article28Enterprisesandinstitutionsshallestablishasystemforprotectionofthetechnicalknow-howandkeepimprovingit,inordertoguardthetechnicalknow-howoftheirown.Employeesshalladheretothesystemoftheirownunitsforprotectionofthetechnicalknow-how.Enterprisesandinstitutionsmaysignanagreementonprotectionoftheirtechnicalknow-howwiththeemployeeswhoparticipateinthetransformationofscientificandtechnologicalachievementsduringtheperiodwhentheyremaininemploymentorwithinaspecifiedperiodoftimeaftertheyleaveofficeorretire;thesaidemployeesmaynot,inviolationofwhatisagreedon,disclosethetechnicalknow-howoftheirownunitsorengageintransformingthesamescientificortechnologicalachievementasthatoftheirownunits.Noemployeesmaytransfer,withoutauthorization,thescientificortechnologicalachievementstheymadewhileholdingpositionsintheirunitsordosoindisguisedform.Article29Whentransferringascientificortechnologicalachievementmadebyemployeeswhileholdingpositionsinaunit,theunitshalltakenotlessthan20percentofthenetincome,obtainedfromtransferoftheachievement,toawardpersonswhomadeimportantcontributionstothescientificortechnologicalachievementortoitstransformation.Article30Ifascientificortechnologicalachievement,thatismadethroughtheindependentresearchanddevelopmentofanenterpriseorinstitutionorthroughresearchanddevelopmentoftheenterpriseorinstitutionwiththecollaborationofanotherunit,istransformedsuccessfullyandisadoptedinproduction,theunitorunitsshalltake,forthreetofiveyearsrunning,notlessthanfivepercentoftheaddedprofitsfromadoptionoftheachievement,thattheyareentitledtoretain,toawardpersonswhomadeimportantcontributionstothescientificortechnologicalachievementortoitstransformation.Inrespectoftheremunerationsorrewardsgiventopersonswhomadeimportantcontributionstoresearchanddevelopmentofscientificandtechnologicalachievementsortheirtransformation,jointstockenterprisesmayconvertthemintosharesorproportionsofcontributiontoinvestmentinaccordancewithrelevantregulationsoftheState.Thepersons,asshareholders,shalldrawproceedsonthestrengthofthesharestheyholdortheirproportionsofcontributiontoinvestment.ChapterVLegalResponsibilityArticle31Anyonewho,inviolationoftheprovisionsofthisLaw,resortstodeceptionin8 transformationofscientificortechnologicalachievementsandthusgetsanawardorhonorarytitle,fraudulentmoneyorillegalprofits,shallbeorderedtoputitright,theawardandhonorarytitleshallbeannulled,theillegalgainsconfiscated,andafinealsoimposedonhim.Ifhecauseseconomiclossestoanother,heshallbearcivilliabilityforcompensationinaccordancewithlaw.Ifacrimeisconstituted,criminalresponsibilityshallbeinvestigatedaccordingtolaw.Article32Anyonewho,inviolationoftheprovisionsofthisLaw,deliberatelyprovidesafalsetestingresultorevaluationcertificateaftertestingorevaluatingascientificortechnologicalachievementshallbeorderedtoputitrightandgivenadisciplinarywarning,hisillegalgainsshallbeconfiscated,andtheinstitutionthatarrangedforthetestingandtheevaluationinstitutionshalleachbeimposedwithafine.Ifthecaseisserious,thebusinesslicenseandqualificationcertificateshallberevoked.Ifeconomiclossesarecausedtoanother,civilliabilityforcompensationshallbeborneinaccordancewithlaw.Article33Employeesofadministrativedepartmentsforscienceandtechnologyandotherrelevantdepartmentsofthepeople'sgovernmentsatvariouslevelswhoneglecttheirdutiesorpractiseirregularitiesforpersonalgainshallbegivenadministrativesanctions;ifthecaseconstitutesacrime,criminalresponsibilityshallbeinvestigatedinaccordancewithlaw.Article34Whoever,inviolationoftheprovisionsofthisLaw,usurpsanother'sscientificortechnologicalachievementbymeansofinstigation,luringorcoercionandthusencroachesupontherightsandinterestsofthatpersonshallbearcivilliabilityforcompensationinaccordancewithlawandmaybeimposedwithafine.Ifthecaseconstitutesacrime,criminalresponsibilityshallbeinvestigatedinaccordancewithlaw.Article35If,inviolationoftheprovisionsofthisLaw,anemployeewho,withoutpermissionofhisunit,disclosesthetechnicalknow-howoftheunitor,withoutauthorization,transfersordoessoindisguisedformthescientificortechnologicalachievementmadewhileholdingapositionintheunit,orifapersonwhotookpartinthetransformationofascientificortechnologicalachievement,runningcountertotheagreementreachedwithhisunit,engagesintransformingthesamescientificortechnologicalachievementasthatofhisunitduringtheagreedperiodoftimeafterleavingofficeorretiringshallbearlegalresponsibilityinaccordancewithrelevantregulations.Article36Ifintheexchangeoftechnologiestheintermediateinstitutionthatservesasanagentorprovidesintermediaryservicesorthebrokerdeceivestheclientorcolludeswithonepartytodeceiveanotherparty,itorheshallbeorderedtoputitright,givenadisciplinarywarningand,inadditiontobearingcivilliabilityforcompensationinaccordancewithlaw,theillegalgainsshallbeconfiscatedandafineimposed.Ifthecaseisserious,thebusinesslicenseandqualificationcertificateshallberevokedinaccordancewithlaw.Ifthecaseconstitutesacrime,criminalresponsibilityshallbeinvestigatedinaccordancewithlaw.ChapterVISupplementaryProvisionsArticle37ThisLawshallgointoeffectasofOctober1,1996.8
