1、Unit4PerformanceoftheContractTheprinciplesforperformance合同履行的基本原则1）fullyperform合同全面履行原则《合同法》第60条第1款规定：“当事人应当按照约定全面履行自己的义务”Thepartiesshallperformtheirobligationsthoroughlyaccordingtothetermsofthecontract.2）goodfaith诚实信用的原则第2款规定：“当事人应当遵循诚实信用原则，根据合同的性质、目的和交易习惯履行通知、协助、保密等义务。”Thepartiesshallabidebythep

2、rincipleofgoodfaithandperformtheobligationsofnotice,assistanceandmaintainingconfidentiality,etc.basedonthecharacterandpurposeofthecontractorthetransactionpractices.ObligationsofthesellerunderCISG1.DeliveryofthegoodsandhandingoverofdocumentsIfthecontractinvolvescarriageofthegoods,thesellerneedstoha

3、ndoverthegoodstothefirstcarrier;Ifnotransportationisstated,andthecontractrelatestospecificgoods,orunidentifiedgoodstobedrawnfromaspecificstockortobemanufacturedorproduced,andatthetimeoftheconclusionofthecontractthepartiesknewthatthegoodswereat,aparticularplace,inplacingthegoodsatthebuyer’sdisposal

4、atthatplace,thebuyerfulfillhisdutyofdelivery.Inothercases,thesellerplacesthegoodsatthebuyer’sdisposalattheplacewherethesellerhashisplaceofbusinessatthetimeoftheconclusionofthecontract.Thesellershallhandoverdocumentsrelatingtothegoodsatthetimeandplaceandintheformrequiredbythecontract.Obligationsoft

5、hesellerunderCISG2.ConformityofthegoodsandthirdpartyclaimsThesellermustdelivergoodswhichareofquantity,qualityanddescriptionrequiredbythecontractorpackagedinthemannerrequiredbythecontract.3.Thesellermustdelivergoodswhicharefreefromanyrightorclaimofathirdparty,unlessthebuyeragreedtotakethegoodssubje

6、cttothatrightorclaim.Thesellermustdelivergoodswhicharefreefromanyrightorclaimofathirdpartybasedonindustrialpropertyorotherintellectualproperty,ofwhicharethetimeoftheconclusionofthecontractthesellerkneworcouldnothaveevenunaware.4.PassingoftheTitleObligationsoftheBuyerunderCISG1.PaymentofthepriceThe

7、buyermusspaythepriceforthegoods:(1)attheplacerequiredbythecontract;orifnoplaceisspecified,(2)attheseller’splaceofbusiness,or(3)ifthepaymentistobemadeagainstthehandingoverofthegoodsorofdocuments,atheplacewheretheh
