1、四川大学锦城学院本科毕业论文我国证券公司并购重组模式研究我国证券公司并购重组模式研究专业：金融学学生：蒋思宇指导老师：徐子尧摘要随着我国证券市场对外开放程度不断加大，国外投资银行开始大量进入我国的证券市场，使得国内证券市场的竞争更加激烈。深圳经济特区证券公司作为我国第一家证券公司，从诞生到现在，已经开始暴露存在的问题，出现了生存危机，这也将引发国内新一轮的证券公司重组。证券公司重组是一项整合性的系统工程，具有全方位、多元化的特点，需要整合的部分包括公司的治理结构、人力资源、市场资源、经营战略和企业控制权等。在近几年由于证券市场低迷，公司经营也很困难，我国的

2、证券行业从起步到十几年的发展，经历了一个不平凡的发展过程，当前正迎来变革和创新的历史新时期。证券行业的重组动力：首先，由于我国证券市场的开放将吸引国际投资银行进入市场，由于国内的公司不管是资金规模还是经营管理和国际投资银行相比较，都存在不小的差距，没有办法与之竞争，导致我国证券业竞争激烈。其次，由于国内二次市场低迷的状况仍然存在，证券公司利润减少严重，很多公司出现生存危机。再次，国家从政策上也提倡公司重组，只有重组成具有更强竞争力的公司才能和国际公司抗衡，才能稳定国内的证券市场。最后，由于行业竞争激烈，只有重组成更大规模的公司才能获取市场竞争优势。证券公司
