3、overncontractsfortheinternationalsaleofgoodsandtakeintoaccountthedifferentsocial,economicandlegalsystemswouldcontributetotheremovaloflegalbarriersininternationaltradeandpromotethedevelopmentofinternationaltrade,havedecreedasfollows:partisphereofapplicationandgeneralprovisions59p
4、artiiformationofthecontractpartiiisaleofgoodspartivfinalprovisionspartisphereofapplicationandgeneralprovisionschapterisphereofapplicationarticle1(1)thisconventionappliestocontractsofsaleofgoodsbetweenpartieswhoseplacesofbusinessareindifferentstates:(a)whenthestatesarecontracting
5、states;or(b)whentherulesofprivateinternationallawleadtotheapplicationofthelawofacontractingstate.(2)thefactthatthepartieshavetheirplacesofbusinessindifferentstatesistobedisregardedwheneverthisfactdoesnotappeareitherfromthecontractorfromanydealingsbetween,orfrominformationdisclos
6、edby,thepartiesatanytimebeforeorattheconclusionofthecontract.59(3)neitherthenationalityofthepartiesnorthecivilorcommercialcharacterofthepartiesorofthecontractistobetakenintoconsiderationindeterminingtheapplicationofthisconvention.article2thisconventiondoesnotapplytosales:(a)ofgo
7、odsboughtforpersonal,familyorhouseholduse,unlesstheseller,atanytimebeforeorattheconclusionofthecontract,neitherknewnoroughttohaveknownthatthegoodswereboughtforanysuchuse;(b)byauction;(c)onexecutionorotherwisebyauthorityoflaw;(d)ofstocks,shares,investmentsecurities,negotiableinst
