1、3SHAPESOFTWAREGENERALLICENSETERMSANDCONDITIONSThegeneraltermsandconditionssetforthbelowapplytoany3ShapeSoftware(asdefinedbelow),exceptasotherwiseexplicitlyagreedwith3Shape(asdefinedbelow)orwithanyonehavingproperauthorizationfrom3Shapetoagreesuchdeviations.A.GENERALPROVISIONSForpurposesofthisdoc
2、ument(includingSectionsBandCbelow),thefollowingdefinitionsapplygenerallyunlessotherwisestatedorclearfromthecontext:-"3Shape"isdefinedinrelationtoanyparticularpieceof3ShapeSoftwaretomeanthespecific3ShapeEntityidentifiedonorintherelevant3ShapeSoftwareastheproprietorofthecopyrightstothatparticular
3、3ShapeSoftware.-"3ShapeEntity"meansanylegalentity(i.e.,alegalpersonsuchas,withoutlimitation,acompany)thatiscontrolled,directlyorindirectly,bythecompany3ShapeHoldingA/S(CVRno.31473233),HolmensKanal7,4thFloor,1060CopenhagenK,Denmark.Theverb"control"shallforpurposesofthisdefinitionbeunderstoodtome
4、an,inrelationtoalegalentity,(i)theholdingofabeneficialinterestinthesharesorsimilarequityinterestrepresentingmorethan50%oftheissuedsharesorequityinterestinthecapitalofsuchlegalentity;or(ii)theability,byvirtueoftheholdingofsharesorthepossessionofvotingpowerinorinrelationtosuchlegalentityorbyvirtu
5、eofanypowersconferredbythearticlesofincorporation,bylawsorotherdocumentrelatingtosuchlegalentityortheshareholdersofsuchlegalentity,tocausetheaffairsofsuchlegalentitytobeconductedinaccordancewiththewishesofthepartywhoistherebydeemedtohavecontrolofsuchlegalentity.-"3ShapeLabel"meansanyLabelthatis
6、ownedbya3ShapeEntity.-"3ShapeSoftware"meansanysoftwarewhichisdevelopedand/orownedbya3ShapeEntityandismarketedbya3ShapeEntityoranyoneauthorizedbytherelevant3ShapeEntitytodoso,nomatterwhethersuchsoftwareisonlybrandedwithoneormore3ShapeLabelsoritisOEM-branded/dual-brandedsuchthattheprivateLabelofa
