2、ectiveDate”),byandbetweenXXXCompanyLtd(hereinafterreferredtoas“Consignor”)and_______________________________(hereinafterreferredtoas“Supplier”).ConsignorandSuppliershallbehereinafterrespectivelyreferredtoasthe“Party”orcollectivelyreferredtoasthe“Parties”.1.TER

3、M1.1ThisAgreementshallbeeffectiveasoftheEffectiveDateandshallbeeffectiveforaperiodofone(1)year.Aftertheexpirationoftheinitialterm,thisAgreementshallbeautomaticallyrenewedforsuccessiveperiodsofone(1)yearunlessonePartynotifiestheotherPartyinwritingnotlessthannin

4、ety(90)dayspriortotheendoftheinitialoranyrenewalterm,thatthisAgreementshallterminateattheendofthethencurrentterm,orunlessearlierterminatedinaccordancewiththetermsandconditionsofthisAgreement.2.SCOPEOFAGREEMENT2.1ThisAgreementshallbeapplicabletoanyandallmanufac

5、turebusinessofsamplesbetweenConsignorandSupplier.ThePartiesacknowledgethatthis15AgreementwillnotconstituteacommitmentforConsignortoorderanyparticularquantityofsamplefromSupplier.1.PURCHASEORDER3.1SamplestobepurchasedbyConsignorfromSuppliershallbesubjecttosepar

6、atepurchaseorders(hereinafterreferredtoas“PurchaseOrder”),whichwillspecifyparticulars,includingbutnotlimitedtoprice,quantity,deliverydateanddescriptionofthesamples.ConsignorhastherighttoplacePurchaseOrderswithSupplier.SuppliershallnotifyConsignorinwritingwheth

7、erornotSupplieracceptsPurchaseOrderswithintwo(2)workingdaysfromthedateofreceiptofthePurchaseOrder.Provided,howeverthat,aslongasthePurchaseOrdercomplieswiththetermsandconditionsofthisAgreement,SuppliershallmakeitsreasonableandbesteffortsingoodfaithtoacceptthePu

8、rchaseOrder.IfConsignordoesnotreceiveSupplier’sreplyregardingtheacceptanceorrefusalofaPurchaseOrderwithinthesaidperiod,thePurchaseOrdershallbedeemedtohavebeenacceptedbySupplier.The
