3、entcompanyoranysubsidiarytoprovidecounselingoradviceservices.“Director”meansanymemberofBoard.“Disability”meansthetotalandpermanentincapacityofServiceProvider.“Employee”meansanypersonemployedbytheCompanyoritsparentcompanyoranysubsidiary,including,withoutlimitation,directors.Aserviceproviderisdee
4、medtobean“employee”inthecaseofleaveofabsenceapprovedbytheCompany,orinthecaseoftransfersbetweenlocationsoftheCompany,orbetweentheCompanyanditsparentcompany,subsidiaryorsuccessor.“ExecutiveCommittee”meanstheBoardofDirectors,oranycommitteeundertheBoard,suchasCompensationCommittee,whichadministerst
