2、司治理的过程中。我国上市公司在公司治理过程中，普遍存在国有股“一股独大”、所有者缺位、上市公司信息披露透明度低、内部人控制现象严重等问题，严重影响了公司治理的绩效。这些重大问题出现的根本原因是我国上市公司股权结构不合理，并且，所有者、经营者和公司之间缺乏有效的监督机制。本文回顾了公司治理的发展历史，分析了我国上市公司股权结构的现状，并提出了上市公司以再融资的方式优化股权结构，以电子工作网站为所有者、经营者和公司之间搭建互相监督的平台以推动独立董事制度的顺利实施，进而提高公司治理绩效的观点。关键词：公司治理;股权结构;融资方式;独立董事17毕业论文（设计）说明书专用纸ABSTRA
