3、ANKLoanandSecurityAgreement1.DEFINITIONS.1.1DefinedTerms.AsusedinthisAgreement,thefollowingtermshavethedefinitionssetforthbelow:“Acquisition”hasthemeaningsetforthinSection4.1(z)hereof.“AcquisitionDocuments”hasthemeaningsetforthinSection4.1(z)hereof.“AdditionalSums”hasthemeaningsetforthinSec
4、tion2.9(a)hereof.“Affiliate”meansanyPersoncontrolling,controlledbyorundercommoncontrolwithBorrower.Forpurposesofthisdefinition,“control”meansthepossession,directlyorindirectly,ofthepowertodirectorcausedirectionofthemanagementandpoliciesofanyPerson,whetherthroughownershipofcommonorpreferreds
5、tockorotherequityinterests,bycontractorotherwise.Withoutlimitingthegeneralityoftheforegoing,eachofthefollowingshallbeanAffiliate:anyofficer,director,employeeorotheragentofBorrower,anyshareholder,memberorsubsidiaryofBorrower,andanyotherPersonwithwhomorwhichBorrowerhascommonshareholders,offic
