1、SAMPLECONSULTINGAGREEMENTThisConsultingAgreement(this“Agreement”)isenteredintobyandbetweenABCNonprofit,aTexasnonprofitcorporation(the“Client”)withaprincipalplaceofbusinessat(listaddress),andTexasIndependentConsultant(the“Consultant”)withaprincipalplaceofbusinessat(listaddress).Services

2、tobePerformed:ConsultantagreestoperformthefollowingservicesforClient:(listallservices)TermsandConditions:(1)MaterialsandinformationrequestedbytheConsultantwillbeprovidedbytheClientinatimelymanner.(2)RegulardiscussionswillbeheldbetweentheConsultantandClientontheprogressoftheproject.Paym

3、ent:Inconsiderationfortheservicestobeperformed,ClientagreestopayConsultantatotalof(amount)forstatedservices,fortheperiodbeginning(date),andending(date),unlessthetermsoftheAgreementaremodifiedbywritingsignedbyeachofClientandConsultantorthisAgreementisterminated.TermsofPayment:(ModifyasA

4、ppropriate)ClientshallpayConsultant(amount)within10daysfromtheeffectivedateoftheagreement.ClientshallpayConsultantthebalanceof(amount)within30daysfromthesuccessfulcompletionoftheAgreement.Expenses:ConsultantshallberesponsibleforallexpensesincurredwhileperformingservicesunderthisAgreeme

5、nt.EffectiveDateofthisAgreement:Thisagreementshallbecomeeffectivewhensignedbybothparties.TerminationofthisAgreement:Withreasonablecause,eitherpartymayterminatethisAgreementatanytimebygiving30dayswrittennoticeofterminationtotheotherpartyattheaddressforsuchpartydetailedherein.Reasonablec

6、auseshallincludeamaterialviolationofthisAgreement,theConsultant’sinabilitytoprovidecontractedservicesduetocircumstancesbeyondtheConsultant’sreasonablecontrol,ornonpaymentofConsultant’scompensationafter30dayswrittendemandforpayment.Consultantshallbeentitledtofullpaymentforservicesperfor

7、medpriortotheeffectivedateoftermination.IndependentConsultantStatus:Consultantisanindependentcontractor,notanemployeeoftheClient’sorganization.ConsultantandClientagreetothefollowingrightsconsistentwithanindependentconsultantrelationship:(1)Consultanthasthesolerighttocontrolanddirectt
