3、ntdistributorsofitsTelecommunicationproductsinthePeople’sRepublicofChina.Article2.AuthoritytoContract:PriortoorcoterminouswiththesigningofthisAgreement,allpartiestotheAgreementshallprovidenotariseddocumentarycertificationfromtheappropriateauthoritiesinCanadaorthePRC,asthecasemaybe,conf

4、irmingtheirlegalstatusandspecificallycapacitytoexecutethisAgreement.ThepersonsexecutingthisAgreementonbehalfoftheircompanyherebywarrantthattheyhavereceivedallnecessaryauthorisationandthattheyareinallrespectslegallyauthorisedtosignthisAgreementonbehalfoftheircompany,andthattheyhavefulll

5、egalcapacitytodoso,andtheyassumefullpersonalresponsibilityintheeventthattheyshouldbefoundnottohaveobtainedfullandproperauthorisationtoexecutethisAgreement.13BTEFArticle3.Expenses:EachpartytothisAgreementisliablefortheexpensesitincursoragreetoincurunderthisAgreement.NopartytothisAgreeme

6、ntmaycommitanyotherpartytopayanyexpansesexceptwiththeexpresswrittenagreementofthatotherparty.Article4.Appointment:ArgusherebyappointsWPTasexclusivedistributorofArgusproductsinthePRC(“Distributor”)andWPTherebyappointsBTEFasexclusive“Sub-Distributor”ofArgusproductsinthePRC.Argusherebysti

7、pulatesandWPTandBTEF,andeachofthem,herebyrecognisesandacknowledgesthatneitherWPTnorBTEFhaveanyauthorityunderanycircumstanceswhatsoevertoappointfurthersub-distributors.Article5.NoAgency:TheauthorityofWPTandBTEFisstrictlylimitedtothatofanindependentcontractorandneitherBTEFnorWPTshallbe
