2、oftheStandingCommitteeofthe10thNationalPeople'sCongresson27October2005andeffectiveasof1January2006.)PARTONE:GENERALPROVISIONSArticle1:ThisLawisformulatedinordertostandardizetheissuingandtradingofsecurities,toprotectthelawfulrightsandinterestsofinvestors,tosafeguardthesocialandeconomicorderan

3、dthepublicinterestandtopromotethedevelopmentofthesocialistmarketeconomy.Article2:ThisLawappliestotheissuingandtradinginthePeople'sRepublicofChinaofshares,corporatebondsandsuchothersecuritiesasarelawfullyrecognizedbytheStateCouncil.IssuesnotcoveredbythisLawshallbegovernedbytheprovisionsoftheP

4、RC,CompanyLawandotherlawsandadministrativeregulations.ThelistingandtradingofgovernmentbondsandsecuritiesinvestmentfundsharesshallbegovernedbythisLaw.Wheretherearespecialstipulationsinotherlawsandadministrativeregulations,suchstipulationsshallapply.Theadministrativeproceduresontheissuingandtr

5、adingofvarietiesofsecuritiesderivativesshallbestipulatedbytheStateCouncilaccordingtotheprinciplesofthisLaw.Article3:Theissuingandtradingactivitiesofsecuritiesmustbecarriedoutinlinewiththeprincipleofopenness,equitabilityandfairness.Article4:Thepartiesinvolvedintheissuingandtradingofsecurities

6、shallhaveequallegalstatusandadheretotheprincipleofvoluntariness,compensationandgoodfaith.Article5:Theissuingandtradingofsecuritiesmustbeconductedinaccordancewithlawsandadministrativeregulations.Fraudulentandinsidertradingandmanipulationofthesecuritiesmarketareprohibited.Article6:Unlessstipul

7、atedotherwisebytheState,securitiesbusiness,andbankingbusiness,trustbusinessandinsurancebusinessshallbeoperatedandadministeredseparately,andsecuritiescompaniesshallbeestablishedindependentlyfrombanking,trustandinsurancebusinessorganizations.Article7
