1、ProposaltoPurchaseStockoftheCompanyDearSellers:Thisletterisintendedtosummarizetheprincipaltermsofaproposalbeingconsideredby(the"Buyer”)regardingitspossibleacquisitionofalloftheoutstandingcapitalstockof(the"Company”)from(HAH)and,whoaretheCompany'ssolesto

2、ckholders(the"Sellers”).Inthisletter,(i)theBuyerandtheSellersaresometimescalledthe"Parties/(ii)theCompanyanditssubsidiariesaresometimescalledthe"TargetCompanies/and(iii)theBuyer'spossibleacquisitionofthestockoftheCompanyissometimescalledthenPossibleAcqu

3、isition/1PARTIThePartieswishtocommencenegotiatingadefinitivewrittenacquisitionagreementprovidingforthePossibleAcquisition(aHDefinitiveAgreement”).TofacilitatethenegotiationofaDefinitiveAgreement,thePartiesrequestthattheBuyer'scounselprepareaninitialdraf

4、t.TheexecutionofanysuchDefinitiveAgreementwouldbesubjecttothesatisfactorycompletionoftheBuyer'songoinginvestigationoftheTargetCompanies1business,andwouldalsobesubjecttoapprovalbytheBuyefsboardofdirectors.BasedontheinformationcurrentlyknowntotheBuyer,iti

5、sproposedthattheDefinitiveAgreementincludethefollowingterms:1.BasicTransactiortTheSellerswouldsellalloftheoutstandingcapitalstockoftheCompanytotheBuyerattheprice(thenPurchasePrice11)setforthinParagraph2below.Theclosingofthistransaction(the”Closing”)woul

6、doccurassoonaspossible2.PurchasePrice.ThePurchasePricewouldbe$(subjecttoadjustmentasdescribedbelow)andwouldbepaidinthefollowingmanner:(a)attheClosing,theBuyerwouldpaytheSellersthesumof$incash;(b)attheClosing,theBuyerwoulddepositwithamutuallyacceptablees
