1、LETTEROFINTENT收购意向书[Date]Address:Dear:Thisletterconfirmsyourandourmutualintentionswithrespecttothepotentialtransactiondescribedhereinbetween(“Buyer”)and(“Seller”).1.PricesandTerms.Weenvisagethattheprincipaltermsoftheproposedtransactionwouldbesubstantiallyasfollows:(a)BusinesstobeAcquired;Liab

2、ilitiestobeAssumed.Wewouldacquiresubstantiallyalloftheassets,tangibleandintangible,ownedbySellerthatareusedin,ornecessaryfortheconductof,itssoftwaredevelopmentbusiness,including,withoutlimitation:(i).Thesoftware,subjecttoanyobligationscontainedindisclosedlicenseagreementsandallrelatedintellec

3、tualproperty;(ii).ThefixedassetsofSeller;(iii).Atleast70%customerswillbekeptatleast6months;(iv).Thegoodwillassociatedtherewith,allfreeandclearofanysecurityinterests,mortgagesorotherencumbrances.(b)Consideration.Theaggregateconsiderationfortheassetsandbusinesstobepurchasedwouldbe$;provide,howe

5、leteourexaminationofyourfinancial,accountingandbusinessrecordsandthecontractsandotherlegaldocumentsandgenerallytocompleteduediligence.AnyinformationobtainedbyusasaresultthereofwillbemaintainedbyusinconfidencesubjecttothetermsoftheConfidentialityAgreementexecutedbythepartiesanddated(the“Confid
