2、tiesonthepartofmanyfranchisorsduringthe1950sand1960s.Apatchworkoflegislationemergedduringtheearlypartofthe1970swhichwasdesignedtocombattheallegedabusesandwrongsoccurringinfranchisingoperations.Theserulesandregulationsweredesignedtorequirethefranchisortodisclose,beforethes

3、aleofthefranchise,informationregardingtheoperationofthefranchise.On21October1979,theFederalTradeCommission(FTC)establishedthefranchiseruleentitled"DisclosureRequirementsandProhibitionsConcerningFranchisingandBusinessOpportunityVentures"(FTCrule436).Thisrulerequiresdisclos

4、ureofspecificactivitiespriortothesaleofafranchise.Thesedisclosuresmustbemadetoanyprospectivefranchiseeatthefirstpersonalmeetingbetweenthefranchisor(orrepresentative)andthefranchiseeforthepurposeofdiscussingthefranchisesale,ortenbusinessdayspriortotheexecutionofanyfranchis

5、edocumentorthepaymentofanyconsiderationforthefranchise,whicheveristheearlier.Thisruledoesnotattempttoregulatethenatureorsubstanceofthefranchisors/franchiseerelationship;ratheritrequiresthefranchisortomakespecificdisclosuresorprovideinformationaboutfranchisingactivitiestot

6、heprospectivefranchisee.Thisrulewasdesignedtoservetwomajorfunctions:(1)preventionoffraudormisrepresentationofmaterialfacts;and(2)presentationofrelevantfactsorinformationtoprospectivefranchisees.Thefinalfranchisingcontractmustbedeliveredtotheprospectivefranchiseeatleastfiv

7、edayspriortothedateonwhichthedocumentistobesigned.ThefranchisorhastheoptionofmakingthedisclosureseitheraccordingtotheFTCRuleformatortheUniformFranchiseOfferingCircular(UFOC)whichwasdevelopedbytheNorthAmericanSecuritiesAdministratorsAssociation.Theseformatsmaynotbemixed.Th
