1、PURCHASEAGREEMENTDependingonthebankthatGreifusestoremitfundstopaytheSeller,itwillbenecessarythattheagreementbetranslatedintoPortuguese.WerecommendconsultingthebankbeforesigningtheagreementorthattheagreementbesignedinbothEnglish/PortugueseversionsThisPurchaseAgreement(togetherwithallexhibits,
2、statementsofworkand/orotherattachments,the“Agreement”)isenteredintothis25thdayofSeptember,2010byandbetweenGREIFEMBALAGENSINDÚSTRIASDO BRASIL LTDA,(“Buyer”),withitsprincipalofficelocatedatAvenidadasNaçõesUnidas,21102SãoPaulo-SP,04795-100,BrasilandJIANGSUYAWEIMACHINE-TOOLCO.(referredasYAWEI),a
3、(“Seller”or“Supplier”),withitsprincipalofficelocatedatZhanggangZone,Jiangdu,Jiangsu,China.Inconsiderationofthemutualcovenantssetforthhereinandothergoodandvaluableconsideration,thereceiptofwhichisherebyacknowledged,thepartiesherebyagreeasfollows:EQUIPMENTS:One(1)SteelCoilLineProcessingMachine
4、“referredasCombiLine”shallbesuppliedbytheSellertotheBuyer.ThespecificationoftheMachineshallbeinaccordancewith“ExhibitA”ofthisAgreement.1.DEFINITIONSForpurposesofthisAgreement,thefollowingdefinitionswillapply:1.1.“AcceptanceTesting”willmeanthedemonstrationthattheEquipmentoperatestoBuyer’ssati
5、sfactionandinaccordancewiththeSpecificationsasmorefullydescribedinExhibitA.1.2“Equipment”or“Machine”willmeantheequipmentmeetingtheSpecificationsalongwithanyservices,includingdesign,development,shippingandinstallationservices,asdescribedinanExhibitA.1.3“Price”willmeanthepricelistedinExhibitA.
6、Unlessotherwisestated,thePricewillincludeallcostsofmanufacturing,packaging,crating,freight(perarticle2.4),start-upandinstallationatBuyer’sfacility,alongwithanytrainingandtestingrelatedtotheEquipment.1.4“Specifications”willmeanadetaileddescriptionoftheEquipmentincludingitsperformancecapabilit
7、ies,maintenancerequirements,anyspecialoperatingconditionsorparametersandanyotherrelevantdescriptionoftheEquipment’scapabilitiesaslistedinExhibitA.1.5“Subcontractor”willmeananindividualororganizationapprovedbyBuyerthatSellerhascontractedwithtoperfor
