1、EXPLANATORYMEMORANDUMTOTHECOMPANIESACT2006(ANNUALRETURNANDSERVICEADDRESSES)REGULATIONS20082008No.30001.ThisexplanatorymemorandumhasbeenpreparedbytheDepartmentforBusiness,EnterpriseandRegulatoryReformandislaidbeforeParliamentbyCommandofHerMajesty.2.Description2.1TheseRegulationsamendtherequirementsf

2、oracompany’sannualreturnundertheCompaniesAct2006(“the2006Act”).TheseRegulationsensurethatnocompanyissubjecttotherequirementtoprovidethenamesandaddressesofallitsmembersinanannualreturnmadeuptoadateafter30September2008.Thestartingpointisthateverycompanyisrequiredtodisclosewhetheritssharesweretradedon

3、anEUregulatedmarketatanypointduringtheperiodcoveredbytheannualreturn.ñForacompanywhoseshareswerenottradedonaEUregulatedmarketatanypointduringthatperiod,therequirementisthatthecompanyshouldprovidethenamesofallitsmembers;ñForacompanywhosesharesweretradedonaEUregulatedmarketatanypointduringthatperiod,

4、therequirementistoprovidethenamesandaddressesofthosememberswhohold5%ormoreoftheissuedsharesofanyclassofthecompany’sshares(orwhoheldsuchapercentageduringtheperiodcoveredbythereturn).2.2TheRegulationsalsospecifytheconditionswithwhichaserviceaddressmustcomplyforthepurposesoftheCompaniesAct2006.3.Matte

5、rsofspecialinteresttotheJointCommitteeonStatutoryInstrumentsNone.4.LegislativeBackground4.1Section113ofthe2006Actrequireseverycompanytokeeparegisterofitsmembers.Section116ofthe2006Actrequiresapersonseekingaccesstotheregisterofmemberstoprovidethecompanywithinformationregardinghisidentityandthepurpos

6、eforwhichinformationistobeused.Section117ofthe2006Actprovidesthatthecompanymusteithercomplywiththerequestorapplytothecourt.Thecourtwillrelievethecompanyfromtheobligationtoallowaccesstoitsregisterofmembersifthecourtissatisfiedthattheaccessisnotsoughtforaproperpurpose.Sections116-119cameintoforceon1O

7、ctober2007withtransitionalprovisionslinkedtowhetheracompanywasstillrequiredtosubmitanAnnualReturnmadeuptoadatebefore1October2008.Section1173defines“regulatedmarket”sothatithasthesamemeaningasinDirective2004
