2、astheAGREEMENT.2.ASSIGNMENT2.1TheAGENTherebyagreestograntthesoledistributorshipoftheCOMMODITIEStotheDISTRIBUTORintheTerritoriesforaperiodstipulatedinSection4.2.1TheDISTRIBUTORhastheexclusiverighttoselltheCommoditieswithintheTERRITORIES.3.TERMSANDCONDITIONS3.1TheDISTRIBUTORshallexclusivelydistri

3、buteZXMCOmadeCOMMODITIES.ItcannotsellotherChinamadebrandsofmotorcycles,mopeds,scooters,ATV,andtricycleswithoutanyapprovalfromtheAGENT.3.2TheAGENTandtheMANUFACTURERshallnotsell,deliver,ordistributetheCOMMODITIEStootherentitiesorpersonalitiesintheMorocco.3.3TheDISTRIBUTORshalldohisbestefforttodis

4、tributetheCOMMODITIES.3.4TheDISTRIBUTORshallfromtimetotimeendeavorenoughmarketingandadvertisementtopromotetheCOMMODITIESintheTerritories.3.5TheDISTRIBUTORshallbuildupthedealernetworkandestablishorappointServiceCenterindifferentareastoprovidewarrantyservicefortheCommoditiessoldtoCustomersinorder

5、toguaranteetheCustomersatisfactionoftheaftersalesservices.Dealernetworksshallbebuiltupasfollows:CITY20042005Total:3.6TheAGENTandMANUFACTURERshallsupplyattheirowndiscretion2%sparepartsoftheCommoditiestotheDISTRIBUTORforwarrantyservices.TheDISTRIBUTORshallkeepadequatenon-warrantyservicesrelatedsp

6、arepartstoensurecustomers’satisfactionontheaftersalesservice.2.1TheDISTRIBUTORshallwarranttheCommoditiesundernormalwearandtear,10,000km.or1yearfromthedateofsalestoCustomer,whichevercomesfirst.Shouldamajormanufacturingqualityproblemoccur,DISTRIBUTORshallinformtheAGENTimmediatelyforremedyactionwh
