2、einafterreferstoastheAGREEMENT.2.ASSIGNMENT2.1TheAGENTherebyagreestograntthesoledistributorshipoftheCOMMODITIEStotheDISTRIBUTORintheTerritoriesforaperiodstipulatedinSection4.2.1TheDISTRIBUTORhastheexclusiverighttoselltheCommoditieswithintheTERRITORIES.3.TERMSANDCONDITIONS3.1TheD

3、ISTRIBUTORshallexclusivelydistributeZXMCOmadeCOMMODITIES.ItcannotsellotherChinamadebrandsofmotorcycles,mopeds,scooters,ATV,andtricycleswithoutanyapprovalfromtheAGENT.3.2TheAGENTandtheMANUFACTURERshallnotsell,deliver,ordistributetheCOMMODITIEStootherentitiesorpersonalitiesintheMo

4、rocco.3.3TheDISTRIBUTORshalldohisbestefforttodistributetheCOMMODITIES.3.4TheDISTRIBUTORshallfromtimetotimeendeavorenoughmarketingandadvertisementtopromotetheCOMMODITIESintheTerritories.3.5TheDISTRIBUTORshallbuildupthedealernetworkandestablishorappointServiceCenterindifferentarea

5、stoprovidewarrantyservicefortheCommoditiessoldtoCustomersinordertoguaranteetheCustomersatisfactionoftheaftersalesservices.Dealernetworksshallbebuiltupasfollows:CITY20042005Total:3.6TheAGENTandMANUFACTURERshallsupplyattheirowndiscretion2%sparepartsoftheCommoditiestotheDISTRIBUTOR

6、forwarrantyservices.TheDISTRIBUTORshallkeepadequatenon-warrantyservicesrelatedsparepartstoensurecustomers’satisfactionontheaftersalesservice.2.1TheDISTRIBUTORshallwarranttheCommoditiesundernormalwearandtear,10,000km.or1yearfromthedateofsalestoCustomer,whichevercomesfirst.Shoulda

7、majormanufacturingqualityproblemoccur,DISTRIBUTORshallinformtheAGENTimmediatelyforremedyactionwhichwillbeattheexpensesofMANUFACTURERandAGENT.2.2TheMANUFACTURERandAGENTshallsupplypartswhentheDISTRIBUTORplacestheorder.2.3TheMANUFACTURERandAGENTshalltrainthesalesmenandtechnicalpers
