1、NON-DISCLOSUREAGREEMENTThisNon-DisclosureAgreement(theAgreementH)ismadeandenteredintoasofthelaterofthetwosignaturedatesbelowbyandbetweenxxxxxxxaDelwarecorporation,and・INCONSIDERATIONOFTHEMUTUALPROMISESANDCOVENANTSCONTAINEDINTHISAGREEMENTANDTHEMUTUALDISCLOSUREOFCONFIDENTIALINFORMATION,THEPARTIES

2、HERETOAGREEASFOLLOWS:鉴于本协议中双方的承诺、合同条款及对保密信息的相互披露，半事双方同意如下条款：I.DefinitionofConfidentialInformationandExclusions.保密(a)"ConfidentialInformation11meansnonpublicinformationthatapartytothisAgreement(^DisclosingParty^)designatesasbeingconfidentialtothepartythatreceivessuchinformation(“ReceivingParty")

5、ginformation),aswellasinformationreceivedfromothersthatDisclosingPartyisobligatedtotreatasconfidential.ExceptasotherwiseindicatedinthisAgreement,theterm"DisclosingParty"alsoincludesallAffiliatesoftheDisclosingPartyand,exceptasotherwiseindicated,theterm^ReceivingParty"alsoincludesallAffiliatesof

6、theReceivingParty.An“Affiliate”meansanyperson,partnershipJointventure,corporationorotherformofenterprise,domesticorforeign,includingbutnotlimitedtosubsidiaries,thatdirectlyorindirectly,control,arecontrolledby,orareundercommoncontrolwithaparty.“机密信息”包括但不限于，有形资产，无形资产相关联或(和)包括得所有业务、技术及财务信息(包括但不限于特
