3、ration,anditiscontemplatedthatsuccessorfailureofthecorporateenterprisewillatalltimesdependinlargemeasureonthepersonalabilitiesoftheStockholders,andWHEREAS,thereisnotnow,noristherelikelyinthefuturetobeasubstantialmarketforthesharesoftheCorporation,andWHEREAS,fortheforegoingre
4、asons,thepartiesdesiretoprovideforthepurchasebyanotherStockholderorbytheCorporationofthestockofanypartydesiringtosellthesame;andforthepurchasebytheCorporationofthestockofadeceasedparty.ITISTHEREFOREAGREED,inconsiderationofthemutualpromisesandcovenantshereinaftersetforth,asfo
5、llows:1•RestrictionDuringLife.NostockholdershalltransferorencumberanyofhissharesofcapitalstockoftheCorporationduringhislifetimetoanyperson,firmorcorporation,withouttheconsentoftheCorporationandtheotherStockholder,unlesstheStockholderdesiringtomakethetransferorencumber(herein
6、afterreferredtoalsoasthe"Transferor”)shallhavefirstmadetheofferhereinafterdescribedandsuchoffershallnothavebeenaccepted.A.OfferbytheTransferor:TheoffershallbegivenproratainitiallytotheotherStockholder(s)andshallconsistofanoffertosellorencumberallofthesharesofthecapitalstocko
