2、EAT(HEREINAFTERREFERREDTOAS“Y”)，REPRE-SENTEDBY.WITNESSETHWHEREAS,Xhasbeenestablishedwiththepurposeamongotherthings,ofinvestingbusiness,andisnowdesirousofbecomingengagedinthemanufacturingandsellingContractbusiness;WHEREAS,Yhasformanyyearsbeenengagedin,amongotherthings,research,developmentandproduc
3、tionofcertainContractProductsandinthesaleofsuchProductsinvariouspartsoftheworld;WHEREAS,YhasexperienceinmanufacturingContractPRODUCTSinoverseascountriesandisthereforecapableoffurnishingtechnicalassistanceformanufacturingsuchPRODUCTS.WHEREAS,XandYaredesirousofcooperatingwitheachotherinjointlysetti
4、ng・upanewcompanyinMexicotomanufactureContractPRODUCTShereinaftermoreparticularlydescribed;andWHEREAS,XandYaredesirousthatsaidnewcompanywillobtaintechnicalassistancefromYformanufacturingsuchPRODUCTSandYiswillingtofurnishsuchtechnicalassistaneetothenewcompany;NOW,THEREFOREinconsiderationofthepremis
5、esandthemutualcovenantshereincontained,itisherebymutuallyagreedasfollows:CLAUSE1.INCORPORATIONOFNEWCOMPANY:1.1ForthepurposeofforminganewcompanytoengageinmanufacturingandsellingthePRODUCTSdefinedin2.1ofCLAUSE2,bothpartiesherebyagreetoincorporatejointlyinMexicoastockCorporationofvariablecapitalunde
6、rtheCommercialCodeofMexico,withsuchcorporationsArticlesofIncorporationtobeintheformattachedheretoasExhibitA,whichshallbeanintegralpartofthisAgreement,suchnewcorporationtobehereinafterreferredtoasFCAM.ThenameofFCAMshallbe:subjecttotheprovisionsofArticlesofIncorporationofFCAM.1.1Thepercentageowners
7、hipoftherespectivepartiesheretointhecapitalstockofFCAMshallbe,Xanditsthreedesigneesanaggregateoffifty-onepercent(51%),andYanditsthreedesignees,anaggregateofforty-ninepercent(49%),whichpercentageshallbemaintainedwithout
