1、Conditionsofcontractforthepurchaseofgoods物货采购合同条款TheseconditionsmayonlybevariedwiththewrittenagreementofthePurchaser.NotermsorconditionsputforwardatanytimebytheSuppliershallformanypartoftheContract.本条款可能与采购方的书面协议不同。任何由供应商提出的条款或条件都不能构成本合同的一部分。1.Defini

3、rinconnectionwiththisorder("theOrder").·“采购方”指成年的、有学识的检查人员;·“供应商”指在采购定单上指定的供应商。“物货”指任何由供应商（或供应商的分包商）根据定单提供给采购方的物货。2.Thegoods货物2.1TheGoodsshallbetothereasonablesatisfactionofthePurchaserandshallconforminallrespectswithanyparticularsspecifiedinthePurch

4、aseOrderandinanyvariationsthereto.货物应该合理满足采购方的要求，应该各方面符合采购定单、修改的定单所规定的要求。2.2TheGoodsshallconforminallrespectswiththerequirementsofanystatutes,orders,regulationsorbye-lawsfromtimetotimeinforce.货物在各方面应符合生效的国家法律、命令、规定、或规章所规定的要求。2.3TheGoodsshallbefitands

5、ufficientforthepurposeforwhichsuchgoodsareordinarilyusedandforanyparticularpurposemadeknowntotheSupplierbythePurchaserandthePurchaserreliesontheskillandjudgementoftheSupplierinthesupplyoftheGoodsandtheexecutionoftheOrder.货物应符合货物一般使用要求，应符合采购方依赖供应商技能和判

6、断告知供应商实现特殊目的要求。3.Theprice价格3.1ThepriceoftheGoodsshallbeasstatedonPurchaseOrderandnoincreasewillbeacceptedbythePurchaserunlessagreedbyhim/herinwritingbeforetheexecutionoftheOrder.货物的价格应该在采购单上标明，除非采购方书面同意，否则不允许任何加价。3.2Unlessotherwiseagreedinwritingbyth

7、ePurchaser,theSuppliershallrenderaseparateinvoiceinrespectofeachconsignmentdeliveredunderthisPurchaseOrder.Paymentshallbedue30daysafterreceiptoftheGoodsorthecorrectinvoicethereof,whicheveristhelater.除非采购方另有书面同意，否则供应商就该定单下的该发货单独开发票，货款应在收到货物或该批货的准确发票起（
