2、Directorsmayfromtimetotimedetermineorasthebusinessofthecorporationmayrequire.ARTICLEIIMEETINGSOFTHESHAREHOLDERS2.01PlaceofMeetings.AllmeetingsofshareholdersfortheelectionofdirectorsorforanyotherproperpurposeshallbeheldatsuchplacewithinorwithouttheStateofTexasastheBoardofDirec
3、torsmayfromtimetotimedesignate,asstatedinthenoticeofsuchmeetingoradulyexecutedwaiverofnoticethereof.2.02AnnualMeeting.AnannualmeetingofshareholdersshallbeheldatsuchtimeanddateastheBoardofDirectorsmaydetermine.AtsuchmeetingtheshareholdersentitledtovoteshallelectaBoardofDirecto
4、rsandmaytransactsuchotherbusinessasmayproperlybebroughtbeforethemeeting.2.03SpecialMeetings.SpecialmeetingsofshareholdersmaybecalledbytheChairmanoftheBoardofDirectors,thePresident,theBoardofDirectors,ortheholdersofatleast10%ofallthesharesentitledtovoteattheproposedspecialmeet
5、ing.IfnototherwisefixedinaccordancewiththeseBylaws,therecorddatefordeterminingshareholdersentitledtocallaspecialmeetingisthedatethefirstshareholdersignsthenoticeofsuchmeeting.2.04NoticeofAnnualorSpecialMeeting.Writtenorprintednoticestatingtheplace,day,andhourofthemeetingand,i
6、nthecaseofaspecialmeeting,thepurposeorpurposesforwhichthemeetingiscalledshallbedeliverednotlessthan10normorethan60daysbeforethedateofthemeeting,eitherpersonallyorbymail,orbyanyothermethodpermittedbyapplicablelaw,byoratthedirectionofthePresident,theSecretary,ortheofficerorpers
7、oncallingthemeeting,toeachshareholderentitledtovoteatsuchmeeting.Ifmailed,suchnoticeshallbedeemedtobedeliveredwhendepositedintheUnitedStatesmail,addressedtotheshareholderathisaddressasitappearsonthesharetransferrecordsofthecorporation,withpostagethereonprepaid.Wheneveranynoti
