3、yfromtimetotimedesignate,asstatedinthenoticeofsuchmeetingoradulyexecutedwaiverofnoticethereof.2.02AnnualMeeting.AnannualmeetingofshareholdersshallbeheldatsuchtimeanddateastheBoardofDirectorsmaydetermine.AtsuchmeetingtheshareholdersentitledtovoteshallelectaBoardofDirectorsandmaytransactsuchoth
4、erbusinessasmayproperlybebroughtbeforethemeeting.2.03SpecialMeetings.SpecialmeetingsofshareholdersmaybecalledbytheChairmanoftheBoardofDirectors,thePresident,theBoardofDirectors,ortheholdersofatleast10%ofallthesharesentitledtovoteattheproposedspecialmeeting.Ifnototherwisefixedinaccordancewitht
5、heseBylaws,therecorddatefordeterminingshareholdersentitledtocallaspecialmeetingisthedatethefirstshareholdersignsthenoticeofsuchmeeting.2.04NoticeofAnnualorSpecialMeeting.Writtenorprintednoticestatingtheplace,day,andhourofthemeetingand,inthecaseofaspecialmeeting,thepurposeorpurposesforwhichthe
6、meetingiscalledshallbedeliverednotlessthan10normorethan60daysbeforethedateofthemeeting,eitherpersonallyorbymail,orbyanyothermethodpermittedbyapplicablelaw,byoratthedirectionofthePresident,theSecretary,ortheofficerorpersoncallingthemeeting,toeachshareholderentitledtovoteatsuchmeeting.Ifmailed,
7、suchnoticeshallbedeemedtobedeliveredwhendepositedintheUnitedStatesmail,addressedtotheshareholderathisaddressasitappearsonthesharetransferrecordsofthecorporation,withpostagethereonprepaid.Wheneveranynoticeisrequiredtobegiventoanyshareholderund
