2、nagementAsiaPteLtd于2011年5月签订，是合法有效的协议。(一方称“一方”，合称“各当事方”）WHEREAS:鉴于ThePartythatdisclosesConfidentialInformationtotheotherPartyshallbereferredtoasthe“DisclosingParty”,andthePartythatreceivessuchConfidentialInformationfromtheotherPartyshallbereferredtoasthe“
3、Recipient”.揭露保密信息的一方成为“透露方”，接受该保密信息的一方成为“接受方”。DisclosingPartywishestomakecertaininformationofconfidentialnatureavailabletoRecipientasmaybenecessarytoRecipient’spurposesofengagingindiscussionsaboutapossibletransactionwithDisclosingPartyinconnectionwithproj
4、ectcooperation,includingallnegotiation,evaluationtogetherwithanyotherrelatedordinaryorappropriateactivity,arecollectivelyreferredtohereinasthe“Purposes”,and透露方愿意就某些保密信息向接收方透露，但该信息应当是与项目合作有关且为促成可能的交易为目的进行的必要披露，包括所有的会谈、伴随日常或特定活动的任何其他评估，都统称为“目的'.ThePartieswi

7、tionaswellastheexistenceofthePurposesandanyoftheterms,conditionsorotherfactswithrespecttothePurpose,includingthestatusthereof(hereinreferredtoas“ConfidentialInformation”).根据本协议阐明的条件，本协议适用于所有披露方或视为披露方的披露方之代理人提供给接收方的专有保密信息。该信息包括:披露方及其分支机构和/或子公司的知识产权、运营、商业计划
