3、rityholder.ThesecuritydocumentswereregisteredagainsttheDebtor'spersonalpropertyinBritishColumbiainfavouroftheBank,withtheregistrationlistingtheDebtorasDavidBlack.TheBankisnowconcernedaboutwhetheritssecurityisenforceable.ISSUEWillpersonalpropertysecuritydocumentsgrantedin
4、favouroftheBank,signedandregisteredinBritishColumbiausingtheDebtor'scommonlawnameDavidBlack,beenforceableagainsttheDebtorandtheDebtor'screditorsnowthattheDebtorhaschangedtousinghislegalnameDavidBrown?CONCLUSIONThelawisclearthatthesecuritydocumentswillbeenforceablebytheBa
5、nkasagainsttheDebtor.However,thereisasignificantriskthatthesecuritydocuments,whichhavebeenregisteredunderthenameDavidBlackinpublicregistries,willnotbeenforceableagainstothercreditorsoftheDebtor.IftheDebtorhadcontinuedtoconsistentlyuseDavidBlackashiscommonlawname,theregis
6、trationwouldprotecttheBank'ssecurity.TheswitchfromBlacktoBrownbringstheprotectionaffordedbyregistrationintoquestion.TheBankshouldtakethefollowingstepstoprotectitssecurity.Theentiretransactiondoesnotneedtobere-executed,becausethecontractssignedbytheDebtorarevalidasagainst
7、theDebtor.However,thesecurityregistrationshouldbeupdatedbyanewfilingreflectingthedifferentname.Onewaywouldbetofilenoticeofachangeofname.GiventheuncertaintyastowhentheDebtorgoesbyBlack,andwhenhegoesbyBrown,thebetterrouteistofileunderbothnames.DISCUSSIONGeneralprinciplesco
