1、山西财经大学硕士学位论文外资并购的反垄断法律规制研究姓名：程旭坤申请学位级别：硕士专业:经济法学指导教师：樊云慧2010-12-25摘要伴随我国对外开放进程的日益加快，外资并购已经成为外企在华投资的重要方式。外资并购给我国经济发展带来了止面和负面两种影响：一方面，作为利用外资的•种途径，它在吸引外资、引进国外先进技术和管理经验、促进我国国民经济的快速发展等方面具有积极的意义；另一方面，外资并购也给我国经济带来了较大的负面影响，其中最为突出的是外资并购中较易产生的垄断问题，它严重损害了我国的市场秩序和广大消费者的利益，进而也威胁到我国民族产业和国民经济的安全

2、。如何更好对其进行有效的规制呢？本文以最新的立法成果为基础，就我国外资并购反垄断法律规制体系的构建进行了深入的探讨。论文第一部分从外资并购概念的法律界定入手，对外资并购反垄断规制的法律内涵以及基本原则进行了概括与阐述。第二部分分析了外资并购在我国呈现岀的垄断倾向以及可能造成的垄断危害，并通过对我国外资并购反垄断规制的立法梳理，评析了我国相关立法的不足之处。第三部分以美国和德国为例，介绍了国外并购反垄断立法在实体和程序上的规则，为研究我国的外资并购反垄断法律规制提供了借鉴的经验。第四部分对外资并购反垄断法律体系进行了构建，从立法模式、实体规则、程序规则、法律
