1、TRANSITIONSERVICESAGREEMENTThisTransitionServicesAgreement(the"ServicesAgreement")ismadeasofthis[•]dayof[•],2014byandbetween(i)CloudaryCorporation,acompanydulyincorporatedandvalidlyexistingunderthelawsoftheCaymanIslands,whoseregisteredofficeisattheofficesofCodanTrustC
2、ompany(Cayman)Limited,CricketSquare,HutchinsDrive,POBox2681，GrandCayman,KY1-1111,CaymanIslands(thenCloudaryH).and(ii)ShandaGamesLimited,acompanylimitedbysharesdulyincorporatedandvalidlyexistingunderthelawsoftheCaymanIslands,whoseregisteredofficeisat[•]("Shanda”).Eacho
3、fCloudaryandShandaissometimesreferredtohereinasaHPartynandcollectively,asthenParties/1WITNESSETH:WHEREAS,ShandaagreestoprovidetoCloudaryandGroupCompanies,asapplicable,certainoperational,technicalandothersupportservicesonthetermssetforthinthisServicesAgreementandtheSch
4、eduleshereto;NOW,THEREFORE,thePartiesherebyagreeasfollows:ARTICLE1DEFINITIONS1.1Definitions.Unlessthecontextotherwiserequires,thefollowingterms,andtheirsingularorplural,usedinthisServicesAgreementshallhavethemeaningssetforthbelow:(a)"Affiliate”meansanyotherpersonthat,
5、directlyorindirectlythroughoneormoreintermediaries,controls,oriscontrolledby,orisundercommoncontrolwith,suchperson,includingwithoutlimitationanyinvestmentfundsmanagedbysuchpersonorsuchotherpersonthat,directlyorindirectlythroughoneormoreintermediariescontrols,oriscontr
6、olledby,orisundercommoncontrolwith,suchperson.(b)"ConfidentialInfoimation”shallhavethemeaningsetforthinSection7.1ofthisServicesAgreement.(c)"GroupCompany11meanseachofCloudary,itsOffshoreEntities(aslistedonScheduleB)andthePRCEntities(aslistedinScheduleC),togetherwithth
7、eirrespectiveSubsidiaries;(d)"Services”shallhavethemeaningsetforthinSection2.1ofthisServicesAgreement.(e)"ShandaEntities”means,collectively,ShandaanditsAffiliatesthatareprovidingservicestoCloudaryandGroupCompanies,whichislistedoutinScheduleAhereto.(a)"Subsidiary”shall
8、havethesamemeaninginthisServicesAgreementastheirrespectivedefinitionsintheCompaniesOrdinance(Chapter622oftheLawsofHongKong).
