2、ARTONE　GENERALPROVISIONS　　Article1　TheseProceduresarespeciallyformulatedinaccordancewiththePRC，AdministrativeLicensingLawandtheStateCouncil，ReformoftheInvestmentSystemDecisioninordertostandardizetheadministrationofverificationandapprovalofoverseasinvestmentprojects

3、.　　Article2　TheseProceduresshallapplytotheverificationandapprovalofinvestment（includingnewestablishment，mergerandacquisition，equityparticipation，capitalincreaseandre-investment）projectsconductedoverseasbyvarioustypesoflegalpersons（InvestmentEntities）inthePeople‘sRe

4、publicofChinaandtheoverseasenterprisesororganizationsinwhichtheyholdacontrollingshare.　　TheseProceduresshallapplytotheverificationandapprovalofinvestmentprojectsconductedbyInvestmentEntitiesintheHongKongSpecialAdministrativeRegion，theMacaoSpecialAdministrativeRegio

5、nandtheTaiwanregion.　　Article3　ForthepurposesoftheseProcedures，theterm“overseasinvestmentprojects”shallrefertotheactivitiesbywhichanInvestmentEntityobtainsoverseasownership，operationandmanagementrightsorotherrelevantrightsthroughtheinjectionofassetsandrightssuchasc

6、urrency，negotiablesecurities，physicalobjects，intellectualpropertyrightsortechnology，equityorclaims，orthroughtheprovisionofsecurity.　　PARTTWO　VERIFICATIONANDAPPROVALAUTHORITIESANDTHEIRAUTHORITY　　Article4　TheStateshallimplementadministrationofverificationandapprovalo

7、foverseasinvestmentprojectsinthecategoryofresourcedevelopmentandoverseasinvestmentprojectsthatinvolvetheuseofalargeamountofforeignexchange.　　Projectsinthecategoryofresourcedevelopmentshallrefertoprojectsofoverseasinvestmentinexplorationanddevelopmentofresourcessuch
