2、ansCMSTINDIAPRIVATELIMITED(b)"Office"meanstheRegisteredOfficeoftheCompany.(c)"Act"meanstheCompaniesAct,1956,andanystatutorymodificationthereof.(d)"Seal"meanstheCommonSealoftheCompany.(e)"Directors"meanstheDirectorsoftheCompanyandincludespersonsoccupyingthepositionoftheDirectorsbywhe

3、thernamescalled.(2)UnlessthecontextotherwiserequireswordsorexpressionscontainedintheseArticlesshallbethesamemeaningasintheAct,oranystatutorymodificationthereofinforceatthedateatwhichtheseArticlesbecomebindingontheCompany.PRIVATECOMPANY3.TheCompanyisaPrivateCompanywithinthemeaningofS

4、ection3(1)(iii)and2(35)oftheCompaniesAct,1956andaccordingly:-(a)TherighttotransfersharesintheCompanyisrestrictedinthemannerandtotheextenthereinafterappearing(b)ThenumberofmembersoftheCompany(exclusiveofpersonswhoareintheemploymentoftheCompany,andpersonswhohavingbeenformerlyintheempl

5、oymentoftheCompany,weremembersoftheCompanywhileintheemploymentandhavecontinuedtobemembersaftertheemploymentceased)shallbelimitedtofifty;providedthatforthepurposeofthisdefinitionwheretwoormorepersonsjointlyholdoneormoresharesintheCompany,theshall,betreatedasasinglemember,and.7(c)Noin
