3、ircuitJudge.PlaintiffPuertoRicoHospitalSupply,Inc.(“PRHS”)filedsuitagainstBostonScientificCorporation(“BSC”)intheUnitedStatesDistrictCourtinPuertoRicoforthepurposeofobtainingapreliminaryinjunctionpendingarbitrationbeforetheInternationalChamberofCommerce(“ICC”).PRHSappealsthedistri
4、ctcourt’sdenialoftheinjunctiononthebasisthatthedistrictcourtappliedthewronglegalstandard.WeAFFIRMthedistrictcourt.pd4mlevaluationcopy.visithttp://pd4ml.comI.BACKGROUNDPRHSisaPuertoRicocompanyinthebusinessofdistributingmedicalproducts.BSCisamanufacturerofmedicalproductsandisincorpo
5、ratedinDelawarewithaprincipalplaceofbusinessinMassachusetts.In1989,thetwobusinessesenteredintoacontractunderwhichPRHSwouldbecometheexclusivedistributorofBSCproductsinPuertoRico.ThecontractspecifiedthatPRHSwoulduseits“besteffortstodevelopandpromote”BSC’sproductsandthatPRHSwould“mai
6、ntain,at[PRHS’s]ownexpense,anadequateinventory”ofBSCproducts.Thetermoftheagreementwasoneyear,butitcouldbeextendedforadditionalone-yearperiodsprovidedthatbothpartiesagreedtotheextension.Thecontractwasextendedforone-yearperiodsthroughthenormalcourseofbusinessuntil2005.Underthecontra
