1、中文摘要iilliiiiiiiiiii暑iiiiiiiii宣现代市场经济人才流动频繁，人才流动中商业秘密的流失问题也日益引起了人们的高度重视，所以竞业禁止制度作为事前保护商业秘密的重要措施，在人类步入信息时代的今天就显得尤其重要，竞业禁止制度可以维护有序的竞争秩序。竞业禁止是指在一定条件下，对与权利人有特定关系的人员从事特定的竞争性行为的限制。竞业禁止最基本的分类为法定竞业禁止和约定竞业禁止，这一分类是以竟业禁止义务来源为标准分类的。前者的义务源于法律的直接规定，后者的义务源于当事人双方的合同约定。竞业禁止的理论依据主要是法学上的诚实信用、忠实义务原则和合理限制竞争原则以及经济学上的代理成本
