2、坚持之观点。虽然破产抵销权的地位独特而重要，但其仅仅是民法上的抵销制度在破产这一特殊领域内的适用。当然破产抵销权的价值冲突也决定了不同的国家和地区对其取舍不一致。关于破产抵销权之行使的讨论主要包括其适用范围和适用要件。适用范围中涉及到了在此基础上的一些特殊类型的债权债务的抵销问题。适用要件也涵盖了权利之构成要件、行使主体及相对人、行使方式以及行使时间等方面。其它国家和地区对破产抵销的限制性规定与我国相比既有一致的地方，也存在区别之处。本文通过比较分析，肯定了我国规定的合理之处，同时对不足之处提出了一些完善建议，以期我国的破产抵销制度在实践中能够得到更好的适用。
