1、法律制度，无疑有重大的意义。本文在综合前人研究成果的基础上，采用了理论联系实际以及比较分析的研究方法，在研究了上市公司反收购制度的理论的基础上，分析了我国立法和司法实践上存在的不足，进而提出完善我国上市公司反收购制度的基本原则和具体举措。在结构上，本文主要分为四个部分：第一部分主要介绍了上市公司反收购制度的基础理论问题。包括上市公司收购、敌意收购以及反收购的相关概念毽其各自特征，茅通过比较分析两种争议观点，阐述了对反收购制度价值的理解。第二部分的内容是对上市公司反收购措施的法律分析。分为预防性反收购

2、措施和反击性发收购措施两大部分，对一些重要的反收购措施，如毒丸计划、金色降落伞、白衣骑士等的合理性与合法性及其在我国的适用做出了剖析。第三部分主要介绍了我国上市公司反收购的实践及立法情况，指出了我国上市公司反收购的立法不足和制度设计缺陷。第四部分在第二部分以及第三部分分析的基础上，同时结合相关国际立法模式，针对我国上市公司反收购领域存在的问题，就如何完善我国的上市公司反收购制度提出了自己的几点设想，包括反收购制度应遵循的基本原则以及一些具体的制度构建。关键词：敌意收购，反收购，上市公司，立法现状，完
