4、ernottorenderrelated-partytransactionsexcessivelyburdensome,theRegulationprovidesasimplifiedregimeforrecently-listedissuers,small-sizedissuersandwidelyheldunlistedissuers,aswellasexemptionsforcertaincategoriesoftransactions.Continuingandperiodicdisclosureobligationsarealsop
5、rovided.Astotheformer,amaterialrelated-partytransactionshalltriggeranobligationonthepartoftheissuertopublishanadhocdisclosuredocument.Astoperiodicdisclosure,ontheotherhand,eachcoveredissuer’sannualmanagementreportandtheinterim13managementreportshallcontainspecificinformatio
6、nonrelated-partytransactions.InadoptingtheRegulation,ConsobalsoamendedArticle37oftheregulationadoptedpursuanttoResolutionNo.16191ofOctober29,2007,asamended(the“MarketsRegulation”),introducingaspecificandsignificantmeasureaimedatenhancingtheprotectionofminorityshareholdersin
