2、使我国煤炭行业面临着前所未有的窘境。怎样才能让占据我国一次能源70％的煤炭在困境中找到发展的新出路已成为不能逃避的问题。资本运营就是在生产运营的过程中而形成的一种改善企业经营效益的方法，不论是在理论上还是在实践中资本运营已经吸引了人们的眼球，在企业发展和壮大的过程中起到了重要的作用。本文认为，资本运营就是通过各种方法(如融资、并购、发债等)对企业资本进行搞活，进行变闲为用、变不利为利、变一为二，实现企业价值增值，达到价值最大化的目的。本文就是想从资本运营的角度着手考虑我国煤炭上市公司的现状并借鉴国内外的相关的优秀研究成果，理论和实证相结合，探寻适合我国煤企的资本运营模式，找出
