1、摘要本文分为五个组成部分。第一章为“合同欺诈行为的法律内涵与特征”，文章在分析了欺诈、合同欺诈的含义及其历史流变之后，对合同欺诈与合同诈骗罪的概念加以准确的辨析，并逐一分析了合同欺诈的法律构成要件和法律特征，从而对合同欺诈的法律内涵有了清楚的界定。第二章为“合同欺诈行为法律规制的考量因素与价值理念”，从法理的角度分析了立法对合同欺诈行为进行法律规制所需要考察的因素，解读了合同欺诈行为中所蕴涵的价值理念与价值功能，从而对合同欺诈行为的立法规制提供了宏观的指导。第三章为“合同欺诈行为的表现形态分析”，文章从

2、司法实践的角度归纳了合同欺诈行为的传统表现形态与最新表现形态，在此基础之上解析了合同欺诈行为最新表现形态在私法实践中难以认定与解决的主要原因。第四部分为“我国对合同欺诈行为的法律规制及其完善”，文章在分析了现行法对合同欺诈行为立法规制的现状，和司法实践对合同欺诈行为的认定及其难点之后，认真、全面地分析了现行立法对于合同欺诈行为法律规制的不足，并提出了自己的初步建议，以求促进立法之完备。第五部分为结论部分，作为对全文的总结。关键词：合同欺诈、法律规制、欺诈、民事责任AbstractThisdisserta
