1、摘要制药行业并购目标的选择研究摘要我国制药行业存在“多、小、散、乱”的局面，行业集中度不高，自主创新能力低，而并购重组正是改变这一局面的有效途径。但从历次并购的结果来看，失败的案例居多，分析其中的原因，最主要集中在两点：并购目标的选择和并购后的整合，前者正是本文研究的重点。本文从理论和实践两个方面对制药行业并购目标选择上存在的问题作了分析，在此基础上细化了制药行业并购目标选择的具体过程，即明确并购企业整体发展战略÷一根据企业发展战略制定目标企业选择标准——目标企业的搜索——目标企业价值评估——对目标企业进行谨慎性调查——建立指标体系对各选目标企业进行评价，选择合适的目标企业。目标企业选

2、择中的价值评估是企业并购的核心环节，本文深入探讨了企业价值评估的五类方法：成本法、市场法、贴现法、EVA法和实物期权法，分别讨论了各种方法的适用性和局限性。在借鉴国内外企业价值评估理论和经验的基础上，结合制药行业的特点，指出制药行业并购目标的价值评估还是以贴现法较为合适。对目标企业进行初选后，通过NIP(层次分析)法将定量指标与定性分析结合起来，从而建立目标企业选择的综合评价模型，以此评估企业并购中的多个备选企业，从中选择最优目标企业，最后以DB制药集团为例，具体分析运用AHP法确定并购目标的方法。关键词：并购目标公司选择At-IP制药AbstractChina'spharmaceut
