1、河北大学硕士学位论文网络证券信息披露制度研究姓名：安晓艳申请学位级别：硕士专业：经济法学指导教师：赵金龙2011-06摘要摘要网络技术为证券市场注入了许多新鲜的血液，深刻影响着证券市场的结构，证券信息披露制度也迎来了后纸质时代的深刻变革，出现了电子公开说明书、网上路演、多媒体信息等全新表现形式。网络证券信息披露具有披露范围广、及时性强、成本低廉、交互性、国际性等优势，极大的方便了证券市场各方参与人。在网络技术积极推动证券信息披露和证券市场发展的同时，也为证券监管者提出了新的难题，比如网络证券信息存在易篡改的特性，降低了违法行为人发布虚假信

2、息的成本，增加了证券监管机构的监管难度；爆炸式的网络证券信息冲淡了真正有价值信息的公布，增加了广大投资者选择和甄别的难度；网络有极强的隐蔽性和迅捷性，违法行为者容易利用这些特性大肆进行网络欺诈行为，另外还有网络自身的安全性问题等都是需要证券监管机构治理的网络问题。我国证券市场的起步较晚，并且处于发展初级阶段，在网络证券信息披露的基础技术支持和法律规范方面都不够健全，例如，没有统一的证券信息电子化披露系统，没有建立完善的网络证券信息披露制度，证券监管机构的监管理念过于陈旧，监管力度不够到位等，这些都造成了我国目前信息披露义务人公开证券信息不

3、够及时充分，规范性差，虚假信息难以规制的混乱局面。为了改善我国网络时代证券信息披露的混乱局面，应该通过建立专门立法来规范。首先应该加强网络技术建设的法律保障，例如将建立证券信息电子化披露系统提升到法律的层面，通过发布一系列规章来保障该系统的开发和普及；其次，加强证券监管机构的监管力度，例如，建立专门的监管队伍，提高监管效率，扩大监管范围等。关键词：证券信息披露网络IAbstractAbstractNetworktechnologyinjectalotoffreshbloodforthesecuritiesmarket,securities
