3、dthetraditionalEntrustmentRelationshipdefinedundercivilstatutes,emphasizinghowCorporationLawusingitsprinciplesandobjectivestoamendtheinequalityexistingintheprincipal’srightsandobligationsundercurrentmarketeconomies.However,theFiduciaryDutyconceptfoundinAngelo-Americanlawshasnotachievedanyanticipate
4、deffectsinpreventingdirectorsfromabusingtheirvestedpowersandencouragingmanagementinbusinessmarket.Italsodidnottakeintoconsiderationsthebusinessrisks,costsoflitigations,businessefficiencyandjudicialresourcesinsociety.Manylegalargumentsandstandards,suchasBusinessJudgmentRules,SafeHarborlaws,EnhancedJ
5、udicialScrutinyandRecurringCircumstancesofCorporationOpportunitiesdidnotgetmanifestedinnewCorporationLaw.NewCorporationLawputsitsemphasisonthepunishmentandadministrativereprimandswhenaDirectorbreacheshisdutiestothecompany,asinmanycasesusedinconnectionwithcivillawandpropertylaw,itseffectivenessislim
