3、ALTYMAYAPPLY)3.1Exceptasotherwiseagreedinwritingbytheparties,eachpartyshallpayandassumeentireresponsibilityfortheirrespectivecostsandexpenditureswhatsoeverincurredinconnectionwiththeiractivitiesunderthisMOU.3.2UndernocircumstancesshalleitherPartybeliabletotheotherforanycostsor
4、damagesofanykind,includingwithoutlimitation,incidental,consequential,specialorspeculativedamages,lostofprofitsorlossofbusiness,inconnectionwithnotmovingforwardtoconclusionofbindinglegalagreementsbetweentheParties.4PUBLICITYNeitherpartyshalldisclosetoanythirdpartynorpublishinan
5、ymannerortoanyextenttheexistenceof,northeiractivitiesunder,thisMOUwithoutthepriorwrittenagreementoftheotherparty.Neitherpartyshallincorporateormakeuseofanyformoftheotherparty’sidentity,including,butnotlimitedto,itsname,logos,insignias,products,brandsandtrademarks,inanyformofpu
6、blication,pressrelease,advertisement,publicity,orotherannouncementwithouttheotherparty’spriorwrittenconsent.CONFIDENTIALITYAllinformationdisclosedbyeitherpartyunderorinconnectionwiththisMOUshallbetreatedbythereceivingpartyasconfidentialandshallbeprotectedassuchunderthetermsand
7、conditionsoftheNonDisclosureAgreemententeredintobetweenthepartiesonM/D,20051INTELLECTUALPROPERTYAllintellectualproperty,includingcopyrights,patents,patentapplications,trademarksandotherintellectualpropertyshallremainthepropertyoftheoriginatingpartyoritslicensors.Eachpartyshall
