2、ding(“MOU”)documentstheintentandbasisfortheinitialcollaborationpreparatorytoenteringintoformalwrittenbindingagreementsshouldbothpartiesdecidetodosofollowingcompletionoftheinitialcollaboration.2SCOPEOFCOOPERATION/BUSINESSMODEL2.12.22.33EXPENSES(SUBJECTTOCOMMERCIALARRANGE
3、MENT,NREANDROYALTYMAYAPPLY)3.1Exceptasotherwiseagreedinwritingbytheparties,eachpartyshallpayandassumeentireresponsibilityfortheirrespectivecostsandexpenditureswhatsoeverincurredinconnectionwiththeiractivitiesunderthisMOU.3.2UndernocircumstancesshalleitherPartybeliableto
4、theotherforanycostsordamagesofanykind,includingwithoutlimitation,incidental,consequential,specialorspeculativedamages,lostofprofitsorlossofbusiness,inconnectionwithnotmovingforwardtoconclusionofbindinglegalagreementsbetweentheParties.4PUBLICITYNeitherpartyshalldiscloset
5、oanythirdpartynorpublishinanymannerortoanyextenttheexistenceof,northeiractivitiesunder,thisMOUwithoutthepriorwrittenagreementoftheotherparty.Neitherpartyshallincorporateormakeuseofanyformoftheotherparty’sidentity,including,butnotlimitedto,itsname,logos,insignias,product
6、s,brandsandtrademarks,inanyformofpublication,pressrelease,advertisement,publicity,orotherannouncementwithouttheotherparty’spriorwrittenconsent.CONFIDENTIALITYAllinformationdisclosedbyeitherpartyunderorinconnectionwiththisMOUshallbetreatedbythereceivingpartyasconfidentia
7、landshallbeprotectedassuchunderthetermsandconditionsoftheNonDisclosureAgreemententeredintobetweenthepartiesonM/D,20051INTELLECTUALPROPERTYAllintellectualproperty,includingcopyrights,patents,patentapplications,trademarksandotherintellectualpropertyshallremainthepropertyo
