1、深圳发展银行国内保理业务管理办法（2006年版）第一章总则第一条本办法所称的国内保理业务，是指我行受让国内卖方因向另一同在国内的买方销售商品或提供服务所形成的应收账款，并在此基础上为卖方提供应收账款账户管理、应收账款融资、应收账款催收和承担应收账款坏账风险等的一系列综合性金融服务。第二章主要术语及解释第二条本办法涉及的主要术语及解释如下：卖方：指销售商品或提供服务的一方，是应收账款的权利人。买方：指购买商品或接受服务的一方，是清偿应收账款的责任人。商务合同：指卖方与各买方签订的由卖方向买方提供商品或服务的

2、各项合同或协议的统称。商务合同是叙做保理业务的凭据和基础。应收账款：指卖方与商务合同的买方之间的交易因采用赊销方式而产生的买方尚未清偿的债权。保理商：指受让卖方应收账款并向卖方提供应收账款账户管理、应收账款融资、应收账款催收和承担应收账款坏账风险等服务的金融机构。在本办法单保理业务中保理商仅指我行。保理额度：保理额度是我行依据卖方转让与我行、并经我行认可的应收账款而对卖方承担风险的最大限额。该项风险既包括应收账款的坏账风险，也包括卖方在转让的应收账款项下融资到期无法清偿的风险。该额度须在保理合同中确认。R
