1、天津商业人学硕士学位论文'1■国上市商业银行公司治理结构优化研究姓名：蔡云巾请学位级別：硕士专业：企业管理指导教师：孙钱20090501摘要中文摘要本文通过借鉴ffl内外银行业公司治理的经验，结合转型期中的中国经济现状及商业银行公司治理的特殊性，对目前上市的14家国有和股份制银行的公司治理状况进行了分析。随后主要从三个维度对银行治理绩效进行实证研究：股权集中度，董事会、独立董事、监事会规模以及高管薪资*回归结果表明：（1)以第一大股东持股比例和前十大股东持股比例为代表的般权集中度对银行业绩有很大的影响。一股独大不利于我国银

2、行业公司治理的完善，更不利于我国银行业的发展^适度的股权集中将有利于银行业绩的提高。（2)董事会规模对银行业绩有影响。独立董事规模对银行业绩有影响，对银行的不良贷款率，以及利息支出有很好的监督作用。而从监事会的各项数据来看，结果不尽如人意，对银行的业绩贡献基本没有.从纵向数据看，监督作用不及独立董事。监事会的作用以及功能定位有待深究•（3)高管薪资高低对银行业绩有影响，但影响程度有限，高管能对银行的经营管理进行很好的控制。并根据回归结果提出我国上市银行公司治理优化的内部途径和外部途径，并试着探讨中国银行业公司治理的进一步发
