1、公司资产重组协议篇一：股份公司资产重组协议资产重组协议本协议由下列各方签订：甲方：西部矿业有限责任公司法定代表人：毛小兵乙方：青海西部矿业股份有限公司筹备委员会授权代表：陈英祥鉴于：1、甲方为具有企业法人地位的有限责任公司，持有工商行政管理机关颁发的《企业法人营业执照》；2、甲方作为主发起人，将其拥有的部分经营性资产（连同负债）、权益（以下简称重组资产）进行重组，以评估后的资产净值折价入股，并与其他发起人一同采用发起方式设立青海西部矿业股份有限公司（以下简称股份公司）；3、乙方为经各发起人同意并授权设立的股份公司筹备委员会；股份公司筹建期间，由
