3、lscientificpaperAccepted:20.02.2002UDC:658Thedirectorsboardhasamainfunctionofcontrollingthetopexecutives.Whenadoptingaviewofthefirmastheshareholdersproperty,itseemsthatthebestexecutives'incentiveistogivethemstockoptions.However,whenconsideringthefirmasaframeworkofbothexplicitandimplicitcontractu
4、alrelations,itappearsthatthetopexecutivesjobisnotonlytosatisfythefirmshareholders,butmoregenerallytomaintainthefirmcoalitionaliveandeventodevelopit.Inthatcase,thedirectorsboardneedstoreceivesomemoredetailedinformationinordertoevaluatethetopexecutives.Weproposetorelyonareportingbasedonbothanactiv
5、ityanalysisandastakeholderapproach.Thebalancedscorecardmodelcouldevenbeamainsupportfortheelaborationofthereportinginformationtotheboard.Corporategovernanceappearstobeoneofthemostimportantfactorofperformanceforthepublicfirms.InFrance,a1999report(calledVienotReport)fromagroupofpublicfirms’CEOswase
